Terms of Service

By installing, activating, or utilizing the Mattermail Google Workspace Add-on ("the Service"), you agree to be legally bound by these Terms of Service. If you do not agree to these terms, you are strictly prohibited from using the Service.

IMPORTANT LEGAL NOTICE FOR LEGAL PROFESSIONALS: Use of this Service does not constitute legal advice, nor does it establish an attorney-client relationship between the Service developers and you, your firm, or your clients.

1. Description of Service & Regional Limitations

Mattermail acts strictly as a data conduit bridging Gmail and Clio Manage. It allows users to extract email text, attachments, time logs, and task details from their local Gmail window and transmit it to their authorized third-party Clio account.

  • Geographic Restrictions: The Service is optimized, hosted, and officially supported exclusively for Clio accounts operating within the United States and Mexico server regions.
  • Unauthorized Access: Any attempt to utilize the Service with Clio instances hosted in other regional jurisdictions (including but not limited to Canada, Europe, or Australia) via VPNs, proxy servers, or alternative technical configurations is entirely unsupported and violates these terms. We assume zero liability for data failure resulting from unauthorized regional usage.

2. Early Access, Beta Status, & Future Subscription Pricing

You acknowledge that the Service is currently provided in an "Early Access" beta phase. The Service is currently made available free of charge for evaluation and testing purposes.

  • Commercial Transition: We reserve the right to transition the Service to a premium, paid subscription-only model at any time. Mattermail will not maintain a permanent free tier.
  • Trial Periods & Notice: Upon commercial launch, existing users will be provided with a clearly defined free trial period to evaluate the premium features. Continued use of the Service past the evaluation period will require a paid subscription plan. You will receive clear, advanced notification regarding price points and billing structures prior to implementation.

3. Professional Responsibility, Privilege, & Data Compliance

As a legal professional, you retain ultimate responsibility for your workflow, data maintenance, and ethical compliance obligations.

  • Attorney-Client Privilege: You assume 100% of the responsibility for ensuring that the transmission of data through the Service complies with all local bar association rules, model rules of professional conduct, attorney-client privilege requirements, and client confidentiality mandates.
  • Filing Verification & Intended Workflow: The primary and sole function of this Service is to log data into your Clio account. It is explicitly your responsibility to open Clio and manually verify that all communications, attachments, tasks, and time entries have successfully posted. The Service was intended and designed to be used in tandem with your manual verification. Because technical anomalies, API limits, or internet disruptions can occur, we are strictly not responsible for any data loss, sync failures, or incomplete records.

4. Conspicuous Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, FREEDOM FROM ERRORS, OR UNINTERRUPTED CONTINUITY.

5. Strict Limitation of Liability & Indemnification

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MATTERMAIL, ITS DEVELOPERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES WHATEVER.

THIS INCLUDES, WITHOUT LIMITATION, LOSS OF PROFITS, DATA LOSS, CORRUPTION OF CLIENT RECORDS, COMPUTER FAILURE, OR ANY SPECIAL DAMAGES ARISING FROM LEGAL MALPRACTICE CLAIMS, MISSED COURT DEADLINES, FAILURE TO MEET STATUTES OF LIMITATIONS, OR DISCIPLINARY ACTIONS SUFFERED BY YOU OR YOUR FIRM RESULTING FROM SOFTWARE BUGS OR TIMEOUTS.

Maximum Financial Liability Cap: In the event of any data loss, service failure, or proven liability, our total cumulative liability to you shall be strictly limited to refunding the subscription fee you previously paid for the add-on. If you are using the Service on a free or early-access basis, our total liability to you is expressly limited to zero dollars ($0.00). We will not pay any compensation, damages, or settlements beyond the return of your paid subscription fee.

Indemnification: You agree to defend, indemnify, and hold harmless Mattermail and its developer, Deepesh Verma, from and against any third-party claims, damages, obligations, losses, liabilities, costs, or malpractice actions brought by your clients or opposing counsel arising from your deployment or reliance on this Service.

6. Third-Party Software Dependencies

The Service depends entirely on the live, functional availability of the application programming interfaces (APIs) provided by Google LLC and Clio. We are an independent software provider. We maintain no official affiliation, sponsorship, or partnership with Google or Clio. We assume no liability or responsibility for modifications, service suspensions, breaking infrastructure shifts, or pricing access adjustments enacted by Google or Clio.

7. Modifications to Terms and Service Termination

We reserve the right to modify, adjust, or discontinue the Service (or any portion thereof) at our discretion without prior notice. Continued utilization of the add-on after modified terms are posted to our official website or repository constitutes absolute acceptance of the updated legal framework.

8. Governing Law and Dispute Resolution

These Terms of Service and your use of the Service shall be governed by and construed strictly in accordance with the laws of India, without regard to its conflict of law provisions. You expressly agree that any legal action, dispute, or proceeding arising out of or relating to these Terms or the Service shall be brought exclusively in the competent courts located in Madhya Pradesh, India. By utilizing the Service, you explicitly consent to the personal and exclusive jurisdiction of such courts and completely waive any jurisdictional, venue, or inconvenient forum objections to such courts.

9. Severability

If any provision of these Terms is found to be unenforceable or invalid under any applicable law, such unenforceability or invalidity shall not render these Terms unenforceable or invalid as a whole, and such provisions shall be deleted without affecting the remaining provisions herein.
